Set Up the Restaurant Business Before Taking Money or Hiring

Organize ownership, entity, bank, accounting, taxes, insurance and approval responsibilities with the right professionals.

Forming a company is one step. It does not itself authorize food service, settle tax treatment or establish that your lease and insurance fit the operation.

Document ownership and decision rights

If there are partners, have counsel address contributions, ownership, management authority, pay, distributions, additional funding, disagreements and exit arrangements. Do not assume friendship supplies terms that become important when cash is short.

Keep names and addresses consistent

Use the correct legal entity and location on bank, tax, permit, insurance, payroll and contract records. Work with the appropriate professionals on structure and registrations. Obtain identifiers and sales-tax/employer registrations through official channels for your jurisdiction.

Set up the bank and accounting flow

Separate business funds and maintain records of owner contributions, loans and withdrawals. Have your accountant define sales, sales tax, tips, fees, inventory, payroll, capital purchases and debt accounts. Do not classify every bank deposit as revenue or every loan principal payment as an expense.

For example, a $1,000 payment that includes $800 principal and $200 interest uses $1,000 cash. Only the $200 interest is treated as interest expense in the simplified P&L; principal reduces the liability. The cash plan still needs the entire $1,000.

Assign recurring controls

Name who reconciles POS to payment settlements, records invoices and credits, reviews payroll, counts inventory, checks upcoming payments and sends information to the accountant. Use access appropriate to each role and preserve approvals for payments or account changes.

Confirm coverage and opening conditions

Have the broker confirm the required insurance is bound, not merely quoted. Have the responsible project team document all applicable opening conditions. Keep a list of renewals, policy dates, licenses and recurring filings with owners.
